Job description

Based in Doha within the Middle East Business Unit and reporting to the General Counsel of SPIE Global Services Energy in France, the Corporate Law and Compliance Lawyer's main responsibilities will be:

• Providing legal secretarial services to SPIE Global Services Energy companies in the Middle East and Asia, including drafting agendas and minutes, approving financial statements, granting mandates/delegations of authority, incorporation of various companies, transfers of shares, and subsequent formalities, etc.;

• Participating in the execution of extraordinary transactions (mergers, restructurings such as share transfers, etc.);

• Reviewing, drafting, and monitoring all types of corporate contracts and various documents;

• Actively participate in the processing and resolution of corporate legal issues encountered by SPIE Global Services Energy in the Middle East and Asia, and work daily to secure the contractual commitments of Group companies and prevent legal risks;

• Contribute to the analysis and monitoring of pre-litigation, litigation, and/or transactional procedures;

• Participate in the drafting of commercial leases (initial leases, amendments, etc.);

• Contribute to risk analysis in the context of contractual arrangements or growth or restructuring operations (participation in audits, etc.);

• Update contractual documentation;

• Contribute to supporting operational staff to advise them on legal issues encountered;

Your mission will include promoting Compliance Culture by serving as the Compliance Legal Referent for the SPIE Global Services Energy Compliance Officer (i.e., the General Counsel of SPIE Global Services Energy) in the Middle East and Asia region by:

• Contributing to the definition of the compliance risk map and monitoring its implementation;

• Updating procedures regarding breaches of integrity;

• Updating and monitoring the anti-corruption system and action plans;

• Implementing, supervising, and improving systems to prevent, detect, and address fraudulent activities (including monitoring, investigations, and alert and incident management);

• Implementing and monitoring the implementation of procedures and tools necessary to ensure business security and asset protection (conflicts of interest, whistleblowing, key external suppliers);

• Engaging internal functional and operational stakeholders (including training and awareness-raising, and contributions to calls for tenders);

• Establishing key indicators and preparing regulatory reports ;

• Participating in the review and drafting of policies, procedures, and operating procedures applicable to the relevant professions.

Profile

With a postgraduate legal degree (Bac +5) in Business Law and Corporate Law, you have at least 7 years of experience in a similar position in a firm or in-house company.

 

English is required for this position.

 

You demonstrate analytical and synthesis skills and are recognized for your writing skills.

 

Pragmatism, adaptability, autonomy, rigor, initiative and a taste for teamwork are the qualities that will allow you to succeed in this position.
